Welcome to ElectoSense. These Terms of Service ("Terms") govern your access to and use of ElectoSense's services, including our website, applications, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Services.
1. Acceptance of Terms
By creating an account or using ElectoSense, you represent that:
- You are at least 18 years of age or the age of majority in your jurisdiction
- You have the legal capacity to enter into these Terms
- You will comply with all applicable laws and regulations
- All information you provide is accurate, current, and complete
2. Use of Services
2.1 License Grant
Subject to your compliance with these Terms, ElectoSense grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or business purposes in accordance with the service plan you have selected.
2.2 Restrictions
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated systems to access the Services without our prior written consent
- Impersonate any person or entity or misrepresent your affiliation
- Transmit any viruses, malware, or other malicious code
3. User Accounts
3.1 Account Creation
To use certain features of our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to immediately notify ElectoSense of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to maintain account security.
4. Elections and Voting
4.1 Election Administration
As an election administrator, you are responsible for:
- Ensuring your election complies with all applicable laws and regulations
- Maintaining accurate voter lists and eligibility criteria
- Configuring appropriate security settings for your election
- Verifying the accuracy of all election information before publishing
- Communicating election results responsibly
4.2 Voter Responsibilities
As a voter, you agree to:
- Verify your eligibility to vote in any election
- Keep your voting credentials secure and confidential
- Cast your vote only once per election
- Not attempt to manipulate or interfere with the voting process
5. Election Inspectors and Compliance
5.1 No Role as Inspector of Elections
ElectoSense does not act as, and shall not be deemed to be, an inspector of elections. ElectoSense provides technology tools to facilitate the administration of elections but does not perform any function of an inspector of elections as defined under any applicable statute, bylaw, or governing document. ElectoSense does not oversee, supervise, or certify any aspect of the election process, including but not limited to voter eligibility, ballot integrity, vote counting, or the declaration of results.
5.2 No Certification of Compliance
ElectoSense does not certify, warrant, or guarantee that any election conducted using the Services complies with any applicable statute, regulation, bylaw, corporate charter, condominium declaration, or other governing document. Use of the Services does not constitute evidence of compliance with any legal or procedural requirement.
5.3 Organization Responsibility for Statutory Compliance
Organizations, associations, condominium corporations, co-operatives, and any other entities using the Services ("Client Organizations") bear sole and exclusive responsibility for ensuring that their elections comply with all applicable laws, regulations, bylaws, and governing documents. This includes, without limitation, responsibility for:
- Appointing a qualified inspector of elections where required by law or governing documents
- Ensuring proper notice, quorum, and procedural requirements are met
- Determining voter eligibility in accordance with applicable rules
- Retaining and preserving ballots and election records as required
- Complying with all statutory timelines and reporting obligations
ElectoSense shall not be liable for any claim, loss, damage, or penalty arising from a Client Organization's failure to comply with any legal or regulatory requirement.
5.4 Inspector Directory Disclaimer
ElectoSense may, from time to time, provide a directory or listing of third-party election inspectors or similar professionals ("Inspector Directory"). The Inspector Directory is provided solely as a convenience and informational resource. By providing the Inspector Directory, ElectoSense:
- Does not endorse, recommend, vouch for, or guarantee any individual or entity listed
- Does not verify, certify, or make any representation regarding the qualifications, credentials, competence, licensing, or suitability of any listed inspector
- Does not represent or warrant that any listed inspector meets the requirements of any applicable law, regulation, or governing document
- Has no affiliation, partnership, employment, agency, or other relationship with any listed inspector
- Assumes no responsibility or liability for the acts, omissions, services, or conduct of any listed inspector
Any engagement of an inspector from the Inspector Directory is solely between the Client Organization and the inspector. You are solely responsible for conducting your own due diligence, verifying qualifications, and determining whether any inspector is appropriate for your needs. ElectoSense disclaims all liability arising from or related to your use of the Inspector Directory or your engagement of any inspector listed therein.
6. Payment and Billing
Certain features of the Services require payment. By providing payment information, you:
- Authorize us to charge your payment method for the fees associated with your selected plan
- Agree that all fees are non-refundable unless otherwise specified
- Understand that failure to pay may result in suspension or termination of Services
- Agree to keep your billing information current and accurate
7. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and data compilations, are owned by ElectoSense or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.
You retain ownership of any content you upload or create using our Services, but grant us a license to use, store, and display such content as necessary to provide the Services.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
We implement industry-standard security measures to protect your data, but no method of transmission or storage is 100% secure. You acknowledge and accept the inherent risks of transmitting data over the internet.
9. Disclaimers and Limitations of Liability
9.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ELECTOSENSE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELECTOSENSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICES.
10. Termination
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.
11. Changes to Terms
We may modify these Terms at any time. When we do, we will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
